Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Signal-Stack platform and services (the "Service") provided by Nofluff Advisory LLC, doing business as Signal-Stack ("Signal-Stack", "we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Signal-Stack is an AI-powered pre-call intelligence platform that aggregates data from your connected tools — including Gmail, Google Calendar, Gong, LinkedIn, Salesforce, HubSpot, and Clay — and synthesizes structured briefings to help sales professionals prepare for meetings.

The Service includes:

• Pre-call intelligence brief generation
• Gmail behavioral analysis and thread history
• Google Calendar meeting detection
• Gong call history, transcript analysis, and tracker data
• LinkedIn network overlap analysis and relationship intelligence
• CRM enrichment via Salesforce, HubSpot, and Clay integrations
• Automated morning briefing email delivery
• Dashboard for managing connectors and reviewing briefs

3. Accounts and Registration

To use the Service, you must create an account with a valid email address. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use at security@signal-stack.io

You may not share your account with others or create accounts for the purpose of abuse, circumventing limits, or violating these Terms.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to violate any applicable law or regulation
• Access data of individuals without appropriate authorization
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use automated means to access the Service beyond normal use (scraping, bots, etc.)
• Attempt to circumvent rate limits, security controls, or access restrictions
• Use the Service to harass, stalk, or harm any individual
• Transmit malware, viruses, or other harmful code
• Resell or sublicense the Service without our written consent
• Use the Service to build a competing product

We reserve the right to suspend or terminate accounts that violate these rules.

6. Third-Party Integrations

The Service integrates with third-party platforms including Google (Gmail, Calendar), Gong, LinkedIn, Salesforce, HubSpot, and Clay. By connecting these integrations, you:

• Authorize Signal-Stack to access your data on those platforms within the scopes you approve
• Represent that you have the right to grant such access
• Acknowledge that your use of those platforms is governed by their own terms of service and privacy policies
• Understand that Signal-Stack is not responsible for the availability, accuracy, or conduct of those third-party services

You may revoke integrations at any time from your dashboard or from the relevant third-party platform settings.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of your data. By using the Service, you grant Signal-Stack a limited, non-exclusive license to access, process, and store your data solely to provide the Service.

We do not sell your data. We do not use your data to train AI models. We do not share your data with third parties except as described in the Privacy Policy.

9. Confidentiality

The Service processes confidential business information including prospect communications, call transcripts, meeting data, and LinkedIn network data. You acknowledge that:

• You are responsible for ensuring you have appropriate rights and consents to process third-party data through the Service
• When uploading LinkedIn connection data, you confirm that you have the right to share that data and that you have reviewed our Privacy Policy regarding how third-party contact information is processed
• Third-party contacts whose data you upload may exercise their rights (access, erasure, restriction) by contacting us at privacy@signal-stack.io
• You will use briefings responsibly and in accordance with applicable laws, including data protection regulations (GDPR, CCPA)
• You will not use the Service to process special categories of sensitive personal data without appropriate safeguards

10. Disclaimers and Limitation of Liability

11. Indemnification

You agree to indemnify and hold harmless Signal-Stack and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third party's rights
• Your violation of any applicable law

12. Termination

Either party may terminate these Terms at any time:

• By you: Delete your account from settings or contact us at support@signal-stack.io.
• By us: We may suspend or terminate your access if you violate these Terms, with or without notice depending on the severity of the violation.

Upon termination, your right to use the Service ends immediately. We will delete your data in accordance with our Privacy Policy. Sections 7, 8, 10, 11, and 14 survive termination.

13. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 14 days' notice via email or a prominent notice in the Service. Your continued use after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service will be resolved through binding arbitration under the American Arbitration Association's Commercial Arbitration Rules, except that either party may seek injunctive relief in court for intellectual property violations.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. General

• Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Signal-Stack regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
• Waiver: Our failure to enforce any right is not a waiver of that right.
• Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger or acquisition.
• Notices: Legal notices to us must be sent to legal@signal-stack.io.
